Fees and Billing Terms

These Fees and Billing Terms form part of the Floxar Terms of Service (floxar.com/legal/terms). Capitalized terms not defined here have the meaning given in the Terms of Service. If an Order Form or Master Agreement sets different billing terms, it governs to that extent.

1. PLANS AND PRICES

1.1 Floxar offers free and paid plans. The features, limits and price of each plan are those shown when Customer subscribes, on Floxar's pricing page, or in an Order Form.

1.2 Prices are in U.S. dollars and exclude taxes unless stated otherwise.

2. BILLING AND PAYMENT

2.1 Fees for a paid plan are billed in advance for each billing period and are due as stated at purchase, on the invoice, or in an Order Form.

2.2 Customer authorizes Floxar, and any payment processor Floxar uses, to charge the payment method on file for all fees when due. Customer will keep its billing and payment information current.

3. AUTOMATIC RENEWAL AND CANCELLATION

3.1 Paid subscriptions renew automatically for successive periods of the same length, at the price then in effect, unless cancelled before the renewal date.

3.2 Customer may cancel at any time in the Service or by contacting Floxar. Cancellation takes effect at the end of the current billing period; the account then moves to a free plan or closes.

4. PLAN CHANGES

4.1 An upgrade takes effect immediately, and Floxar charges the prorated difference for the rest of the current period.

4.2 A downgrade takes effect at the start of the next billing period.

4.3 When a plan change lowers a limit below Customer's current use, work already in progress continues, but new use above the limit is blocked until Customer is within it. Features not included in the new plan become unavailable.

5. USAGE CHARGES AND CREDITS

5.1 Some features, including AI features, consume usage credits. Floxar sets the credits each operation consumes and may change them, showing current costs in the Service or its documentation.

5.2 Credits included in a plan are granted for each billing period and expire at its end. Credits purchased separately expire as stated at purchase. Credits have no cash value and are non-transferable and non-refundable.

5.3 When credits run out, features that consume them stop until credits are added or the next period begins. Usage beyond a plan's limits is charged only where the plan or Order Form states an overage rate.

6. TAXES

Fees exclude taxes. Customer pays all applicable sales, use, value-added, goods and services, withholding and similar taxes, other than taxes on Floxar's income. If Customer is required to withhold tax, it will gross up its payment so that Floxar receives the full amount invoiced.

7. REFUNDS

Fees are non-cancellable and non-refundable, including for partial periods, unused capacity and unused credits, except: (a) where applicable law requires a refund; (b) when Floxar terminates for convenience under Terms of Service 12.2, in which case Floxar refunds prepaid fees for the period after termination; and (c) as Terms of Service 3.2 provides when Floxar materially reduces a paid feature during a prepaid period.

8. PRICE CHANGES

Floxar may change its prices by giving Customer's Administrators advance notice. A change takes effect from Customer's next billing period after the notice, and does not affect fees already paid.

9. LATE PAYMENT

9.1 If an amount is overdue, Floxar may, after notice to Customer's Administrators, suspend paid features or the Service, or move the account to a free plan, until the amount is paid.

9.2 Customer pays reasonable costs of collecting overdue amounts, and any late charges permitted by law.

10. BILLING DISPUTES

Customer will raise any dispute about a charge promptly, in writing to legal@floxar.com, and the parties will work in good faith to resolve it. A chargeback filed without first raising the dispute with Floxar may lead to suspension of the account until it is resolved.

11. FREE PLANS AND TRIALS

Free plans and trials carry no fees. A trial does not convert to a paid plan unless Customer chooses one. Free Services are governed by Terms of Service 7.

12. CHANGES

Floxar may update these Fees and Billing Terms as Terms of Service 18 provides. Price changes follow Section 8.
